Agreement to Terms

We reserve the right to modify or discontinue, temporarily or permanently, any part of our services with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the service.

Products and Services

Our services include but are not limited to web development, UI/UX design, social media management, and SEO optimization. The specific details, features, and pricing of our services will be described in the applicable service agreement, statement of work, or other written communication between you and Qodient. Unless otherwise specified, all services are provided on an "as is" and "as available" basis.

Project Agreements and Contracts

For comprehensive services, we may require you to sign a separate service agreement or statement of work that outlines specific project details, deliverables, timelines, and payment terms. Such agreements will be considered an extension of these Terms of Service. In the event of any conflict between these Terms and a specific service agreement, the terms of the specific service agreement will prevail with respect to that particular service.

Payments and Billing

Payment terms will be specified in your service agreement or invoice. Unless otherwise agreed upon in writing, invoices are due upon receipt. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. If payment is not received according to the agreed terms, we reserve the right to suspend or terminate services until payment is made in full. You are responsible for all taxes associated with our services other than taxes based on our income.

Intellectual Property Rights

The content on our website, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, is the property of Qodient or its content suppliers and is protected by international copyright laws. Unless otherwise specified in a service agreement, upon full payment for our services, you will receive a non-exclusive, worldwide license to use the deliverables for your business purposes. However, we retain ownership of all intellectual property rights in our pre-existing materials, methodologies, and know-how used to create the deliverables.

Client Responsibilities

For successful project completion, clients are expected to:

Provide Necessary Information

You agree to provide us with all information, materials, and assistance necessary for us to complete the services as outlined in your service agreement. Delays in providing required materials or feedback may result in project delays and potential adjustments to project timelines and costs.

Review and Approvals

You agree to review and provide feedback on deliverables within the timeframes specified in your service agreement. Once deliverables are approved, any subsequent change requests may incur additional charges and affect project timelines.

Content Ownership and Rights

You represent and warrant that any materials you provide to us for inclusion in the deliverables do not infringe upon the intellectual property rights of any third party. You shall indemnify and hold Qodient harmless from any claims, damages, or expenses arising from your breach of this warranty.

Legal Terms and Conditions

Limitation of Liability

To the maximum extent permitted by law, in no event shall Qodient, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, timely, secure, or error-free.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Texas, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.

Termination

Either party may terminate a service agreement as provided in the specific agreement. Upon termination, you will remain obligated to pay for services performed prior to the termination date. Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
